Ladies and Gentlemen,

Acting on behalf of the company under the name MAT CAD-IT limited liability company (formerly MAT Usługi Informatyczne limited liability company limited partnership) with its registered office in Krakow, address: ul. Rzemieślnicza No. 1, office 607, 608, 30-363 Kraków, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000904928 (company documentation kept at the District Court for Kraków Śródmieście in Kraków, 11th Commercial Division of the National Court Register, NIP: 6761013404, REGON: 350667888) (hereinafter also as the “Company”), I inform that:

• on July 1, 2021 (date of transformation), pursuant to a decision of the District Court for Kraków-Śródmieście in Kraków, 11th Commercial Division of the National Court Register, the company was transformed under the name MAT Usługi Informatyczne spółka z ograniczoną odpowiedzialnością spółka komandytowa with its registered office in Kraków, address: Rzemieślnicza No. 1, office 607, 608, 30-363 Kraków, entered in the Register of Entrepreneurs of the National Court Register under the number KRS 0000536979 (company documentation kept at the District Court for Kraków Śródmieście in Kraków, 11th Commercial Division of the National Court Register, NIP: 6761013404, REGON: 350667888), into the company under the name MAT CAD-IT limited liability company, based in Krakow, address: ul. Rzemieślnicza No. 1, office 607, 608, 30-363 Kraków, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000904928 (the company’s documentation is kept at the District Court for Kraków Śródmieście in Kraków, 11th Commercial Division of the National Court Register, NIP: 6761013404, REGON: 350667888);
• Pursuant to the provision of Art. 553 § 1 of the Commercial Companies Code (expressing the so-called “continuation principle”), the Company (as a transformed company) has all the rights and obligations of the transformed company (MAT Usługi Informatyczne limited liability company limited partnership). Thus, the content of the civil law relations of the transformed company does not change (it is therefore not necessary to conclude any annexes to the agreements concluded in the past by MAT Usługi Informatyczne spółka z ograniczoną odpowiedzialnością spółka komandytowa – these agreements remain valid),
• NIP and REGON numbers remain unchanged (only the KRS number changes),
• the company’s address remains unchanged,
• the bank account number remains unchanged,
• the transformed company operates under the name: MAT CAD-IT limited liability company, however, for a period of one year from the date of transformation, the company’s name will additionally include the old company (company of the transformed company) in parentheses next to the new company, with the word “formerly” added;
• The company is represented by the Management Board. The members of the management board are: Marcin Tarczyński, Piotr Łabuda and Tomasz Musialik, with each member of the Management Board being entitled to independently represent the Company.
